Acceptance of Terms

By accessing or using the website at https://www.ec2cloud.in (the "Site") or by engaging ec2cloud IT Solutions("ec2cloud", "we", "us", or "our") for any service, you ("Client" or "you") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please discontinue use of the Site and do not engage our services.

Our Services

ec2cloud provides IT services including but not limited to cloud computing, cloud storage, software and web development, mobile development, CMS development, DevOps and project management, IT management, private cloud setup, IT consultancy, and AI solutions. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

All service engagements are governed by:

  • These Terms & Conditions (general framework)
  • A signed Statement of Work or Service Agreement (scope & price)
  • Our Privacy Policy (data handling)

Use of This Site

You may use this Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable Indian or international laws or regulations.
  • Transmit any unsolicited or unauthorised advertising or promotional material (spam).
  • Attempt to gain unauthorised access to any part of the Site or its underlying infrastructure.
  • Upload or transmit any malicious code, viruses, or disruptive software.
  • Scrape, crawl, or extract content from the Site without prior written consent.
  • Reproduce, duplicate, or resell any part of the Site without our express written permission.

We reserve the right to terminate or restrict your access to the Site at any time, without notice, for conduct that we believe violates these terms or is harmful to other users, us, or third parties.

Intellectual Property

Site content

All content on this Site — including text, graphics, logos, icons, and images — is the property of ec2cloud IT Solutions and is protected by applicable copyright and trademark laws. You may not reproduce or distribute it without written permission.

Deliverables

Upon full payment, all custom deliverables (code, designs, documentation) created specifically for you become your property. We retain the right to use general methodologies, tools, and pre-existing components developed independently of your engagement.

Client Obligations

To enable us to deliver your project on time and to the agreed standard, you agree to:

  • Provide accurate, complete, and timely information required for the project.
  • Make key stakeholders available for reviews, approvals, and feedback sessions.
  • Review and approve deliverables within the timeframes specified in the SOW.
  • Ensure you hold the rights to any materials (images, content, data) you provide to us.
  • Notify us promptly of any changes to requirements or project scope.
Delays caused by late client feedback or approvals may result in revised timelines and additional charges, which will be communicated and agreed in advance.

Payment Terms

Invoicing

Invoices are issued as per the milestone or retainer schedule in your SOW.

Due date

Payment is due within 15 days of invoice date unless agreed otherwise.

Late payment

Overdue invoices may attract 1.5% interest per month and suspension of services.

All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless stated otherwise. GST will be charged at the prevailing rate.

Confidentiality

Both parties agree to keep confidential any non-public business information, technical data, trade secrets, or strategies shared during an engagement ("Confidential Information"). This obligation survives the end of any service engagement for a period of 3 years.

Confidential Information does not include information that is publicly known, independently developed by the receiving party, or disclosed with prior written consent of the disclosing party.

Limitation of Liability

To the fullest extent permitted by law, ec2cloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of revenue, data, or business opportunity — arising from your use of the Site or our services.

Our total aggregate liability

In all cases, ec2cloud's maximum liability to you for any claim arising out of or related to a service engagement shall not exceed the total fees paid by you to ec2cloud under the specific SOW giving rise to the claim, in the 3 months preceding the event.

This Site is provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless ec2cloud IT Solutions and its directors, employees, and agents from and against any claims, liabilities, damages, judgements, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of these Terms & Conditions.
  • Materials or content you provided that infringe a third party's intellectual property or other rights.
  • Your violation of any applicable law or regulation.

Termination

By either party

Either party may terminate an ongoing service engagement by providing 30 days' written notice. All work completed up to the termination date will be invoiced and is payable.

For cause

Either party may terminate immediately upon written notice if the other party materially breaches these terms and fails to remedy the breach within 14 days of receiving notice.

On termination, clauses relating to intellectual property, confidentiality, payment, limitation of liability, and governing law shall continue in force.

Governing Law & Disputes

These Terms & Conditions are governed by the laws of India. Any disputes arising out of or in connection with these terms or any service engagement shall be subject to the exclusive jurisdiction of the courts of Coimbatore, Tamil Nadu, India.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.

Changes to These Terms

We may update these Terms & Conditions from time to time. The "Last updated" date at the top of this page will always reflect the latest revision. For active client engagements, material changes will be communicated directly. Continued use of the Site after updates constitutes your acceptance of the revised terms.
